Company incorporation advisory services

“X-PAT Advisory Services” offers assistance for setting up companies, which includes the following services:

• Reservation of the company name;
• Drawing up the incorporation documents (by-laws) and the statements of the Shareholders and General Manager (affidavits);
• Signature specimen draft;
• Registering capital deposit to a chosen bank;
• Submitting the documents to the designated judge from the Trade Register;
• Obtaining the Registration Certificate and the VAT number;
• Identifying solutions for a virtual office;
• Various diligences with the Romanian authorities for obtaining all the necessary authorizations for a proper functioning of the company.

Please note that the Romanian companies may be established in one of the following forms:

Limited Liability Company – which is the most common firm due to low administrative requirements (one or more administrators with full/limited power, who may be Romanian/foreign citizens); large flexibility compared to other types of companies (up to 50 associates, individuals or legal entities); low initial capital requirements (RON 200 which is the equivalent of EUR 50).

Joint-stock Company (S.A.) – with a minimum registered capital of EUR 25,000; no upper limit for the number of shareholders, but minimum 2; 30% of the subscribed share capital should be contributed at the time of setting up and the rest within the next 12 months.
